These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Prakhar Bhaarat Enterprises ("PBE," "we," "us"), operating through its development arm Prakhar Bhaarat Tech Studio ("PBTS"), governing your access to and use of the AgencySync platform (the "Portal"), the public AgencySync website (the "Website"), and the AgencySync Exchange marketplace (the "Exchange"). By creating an account, using the Portal, browsing the Website, or making a purchase on the Exchange, you agree to these Terms in their entirety.
1. Definitions
- "Agency" means a business entity that registers for and uses the Portal to manage its clients, invoicing, communications, and operations.
- "Agency Staff" means individuals invited by an Agency to access the Portal as Owners, Admins, or Members.
- "Client" means an end-customer of an Agency who accesses the branded Client Portal to view invoices, exchange messages, and access shared reports.
- "Buyer" means any individual or entity that purchases services through the AgencySync Exchange.
- "Listing" means a service published by an Agency on the Exchange marketplace.
- "BYOK" means Bring Your Own Key — the model whereby each Agency provides its own API key for third-party AI services.
2. Eligibility & Account Registration
2.1 You must be at least 18 years old and legally capable of entering into binding contracts to use the Portal or make purchases on the Exchange.
2.2 When registering an Agency account, you must provide a valid email address and a password meeting minimum security requirements (8+ characters). You are responsible for maintaining the confidentiality of your credentials.
2.3 Each Agency account is issued a unique identifier (UUID). You may not create duplicate accounts for the same business entity.
2.4 The Portal is currently in closed early access. PBTS reserves the right to accept, reject, or revoke access at its sole discretion during the early-access period.
3. Free Trial & Subscription Plans
3.1 Free Trial. New Agencies receive a free trial period with full platform access. No credit card is required to start a trial. When the trial expires, access to the Portal is suspended until the Agency selects a paid plan.
3.2 Data Preservation. Upon trial expiry, your data (clients, invoices, messages, settings) is preserved — not deleted. Access is restored immediately upon upgrading to a paid plan.
3.3 Plans & Pricing. AgencySync offers tiered subscription plans (Pro, Pro+, Ultra) with monthly and annual billing cycles. Annual billing includes a 15% discount. Plan features, client limits, and pricing are published on the Portal and may be updated from time to time. Any price changes will take effect at the next billing cycle, not retroactively.
3.4 Add-Ons. Additional capabilities (extra staff seats, advanced AI, expanded client slots) may be purchased as add-ons alongside any plan.
3.5 Launch Discount. Agencies onboarding during the early-access window may receive a promotional discount (currently 50%), applied automatically. This discount may be discontinued at PBTS's discretion.
4. Acceptable Use
You agree not to:
- Use the Portal for any unlawful purpose or in violation of any applicable law or regulation.
- Attempt to circumvent, disable, or interfere with Row-Level Security policies, authentication mechanisms, or any other security feature of the platform.
- Access or attempt to access data belonging to another Agency or another Agency's clients.
- Use the AI features to generate content that is illegal, harmful, defamatory, or violates the terms of the underlying AI provider (OpenAI, Anthropic, Google, or OpenRouter).
- Upload malicious files (malware, scripts, executables) to any file upload endpoint, including logo uploads, portfolio PDFs, or client reports.
- Reverse-engineer, decompile, or disassemble any part of the platform's source code or infrastructure.
- Resell, sublicense, or redistribute access to the Portal without written authorization from PBTS.
- Use automated bots, scrapers, or crawlers to access the Website, Portal, or Exchange except via officially provided APIs.
- Submit false, misleading, or fraudulent information in waitlist signups, contact forms, or Exchange listings.
5. Data Ownership & Responsibilities
5.1 Your Data. You retain full ownership of all data you enter into the Portal — client records, invoices, messages, uploaded files, and settings. PBTS does not claim ownership over your content.
5.2 License Grant. By uploading content to the Portal or publishing a Listing on the Exchange, you grant PBTS alimited, non-exclusive license to store, process, display, and transmit that content solely for the purpose of operating the platform and delivering its features.
5.3 Agency Responsibility. Agencies are solely responsible for the accuracy, legality, and appropriateness of the data they enter — including client contact information, GST numbers, invoice amounts, and Exchange listing descriptions. PBTS does not verify the accuracy of Agency-submitted data.
5.4 Client Data Processing. When an Agency enters client data (names, emails, phone numbers, GST numbers) into the Portal, the Agency acts as the Data Controller and PBTS acts as the Data Processor. Agencies must ensure they have a lawful basis for collecting and processing their clients' personal data.
5.5 AI Data Processing. When an Agency enables AI features and provides their own API key (BYOK), the Agency acknowledges that conversation data (chat messages, invoice descriptions) will be transmitted to the selected third-party AI provider. The Agency is responsible for reviewing and accepting the data processing terms of their chosen AI provider. PBTS facilitates the transmission but does not control how the AI provider processes the data after receipt.
6. AgencySync Exchange
6.1 Marketplace Nature. The Exchange is a B2B marketplace where Agencies list services and Buyers purchase them. PBTS operates the Exchange as a platform facilitator — we are not a party to transactions between Agencies and Buyers.
6.2 Listing Obligations. Agencies that publish Listings warrant that: (a) the service descriptions are accurate and not misleading; (b) they have the capacity and intent to deliver the listed services; (c) pricing is stated in INR and inclusive of applicable taxes unless otherwise noted.
6.3 Opt-Out. Agencies may opt out of the Exchange at any time by enabling the exchange_opt_out flag in their settings. Existing unfulfilled orders remain the Agency's responsibility regardless of opt-out status.
6.4 Payment Processing. All Exchange payments are processed by Razorpay. PBTS does not collect, store, or process payment instrument data (card numbers, UPI credentials, net banking details). We store only the Razorpay Payment ID and order amount for record-keeping.
6.5 Refunds & Disputes. Refund and dispute resolution for Exchange purchases are between the selling Agency and the Buyer. PBTS may assist with mediation upon request but is not obligated to issue refunds on behalf of Agencies. If a Buyer disputes a charge with Razorpay or their payment provider, the selling Agency bears responsibility for any chargebacks.
6.6 No Service Guarantee. PBTS does not vet, certify, or guarantee the quality of services listed on the Exchange. Buyers transact at their own discretion.
7. Payment Terms
7.1 Subscription Payments. Subscription fees are billed in advance on a monthly or annual basis via Razorpay. Failure to pay may result in suspension of Portal access.
7.2 Invoice Payments (Agency Clients). Invoices generated by Agencies within the Portal include Razorpay payment links for their clients. These transactions are between the Agency and their client. PBTS facilitates the payment link infrastructure but is not a party to the invoice.
7.3 Taxes. All prices are listed exclusive of applicable taxes unless stated otherwise. Agencies are responsible for their own GST compliance, including correctly recording their GST number and their clients' GST numbers in the system.
7.4 No Chargebacks to PBTS. Razorpay chargebacks arising from Agency-issued invoices or Exchange listings are the responsibility of the respective Agency, not PBTS.
8. Intellectual Property
8.1 Platform IP. The AgencySync platform — including its source code, design system, user interface, branding, logos, documentation, and all associated intellectual property — is owned exclusively by PBTS. These Terms do not grant you any rights to use PBTS trademarks, logos, or brand assets beyond normal use of the Portal.
8.2 Agency Branding. Agencies retain ownership of their logos, brand colors, and custom content uploaded to the Portal. PBTS will not use Agency branding outside the platform without written consent.
8.3 Feedback. If you provide suggestions, feature requests, or feedback about the platform, you grant PBTS aperpetual, irrevocable, royalty-free license to use, modify, and incorporate that feedback into the platform without obligation to you.
9. Security & Encryption
9.1 PBTS employs AES-256-CBC encryption for sensitive credentials (email passwords, AI API keys), bcrypt password hashing via Supabase Auth, TLS encryption for all data in transit, and Row-Level Security at the database layer for multi-tenant data isolation.
9.2 While we implement industry-standard security measures, no system is perfectly secure. You are responsible for maintaining the confidentiality of your account credentials and for promptly reporting any suspected unauthorized access.
9.3 You agree not to probe, scan, or test the vulnerability of the platform's security mechanisms without prior written authorization from PBTS.
10. Availability & Service Levels
10.1 PBTS strives to maintain high availability of the Portal and Website but does not guarantee uninterrupted access. The platform depends on third-party infrastructure providers (Supabase, Razorpay) whose availability is outside our direct control.
10.2 We may perform scheduled maintenance with reasonable advance notice. Emergency maintenance may occur without notice when required to protect platform security or stability.
10.3 PBTS is not liable for downtime, data delays, or service interruptions caused by third-party providers, network outages, or force majeure events.
11. Termination
11.1 By You. You may close your Agency account at any time by contacting PBTS. Upon account closure, your subscription will be cancelled at the end of the current billing cycle. We will retain your data for 30 days to allow for reactivation, after which it will be permanently deleted.
11.2 By PBTS. We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, fail to pay subscription fees for 30+ days, or if we are required to do so by law. We will provide reasonable notice where possible.
11.3 Effect of Termination. Upon termination, your access to the Portal is revoked, but you may request an export of your data (clients, invoices, messages) within 30 days. Exchange listings are delisted immediately. Outstanding Exchange orders remain your responsibility.
12. Limitation of Liability
12.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PBTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM.
12.2 PBTS's total cumulative liability under these Terms shall not exceed the amount you paid to PBTS in the twelve (12) months preceding the claim.
12.3 PBTS is not liable for: (a) actions taken by AI providers processing data under BYOK; (b) disputes between Agencies and Buyers on the Exchange; (c) accuracy of AI-generated outputs (health scores, proposals, scope creep alerts); (d) Razorpay payment processing failures; (e) data loss caused by the Agency's own actions.
13. Disclaimers
13.1 THE PORTAL, WEBSITE, AND EXCHANGE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
13.2 AI-generated outputs (client health scores, scope creep alerts, proposals, invoice line items) are decision-support tools, not definitive assessments. Agencies should exercise independent professional judgment before acting on AI recommendations.
13.3 PBTS does not provide legal, financial, or tax advice. The GST features, invoice templates, and financial reports in the Portal are tools — not substitutes for professional accounting or legal counsel.
14. Indemnification
You agree to indemnify, defend, and hold harmless PBTS, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your use of the Portal, Website, or Exchange; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) content you upload or publish; (e) your Agency's data processing practices with respect to your clients.
15. Governing Law & Dispute Resolution
15.1 These Terms are governed by and construed in accordance with the laws of India.
15.2 Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts in India.
16. Modifications to Terms
PBTS reserves the right to modify these Terms at any time. Material changes will be communicated via the Portal or by email to registered Agency owners. Continued use of the platform after notification constitutes acceptance of the updated Terms. If you disagree with any changes, your sole remedy is to close your account.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
